Fully electronic share register

For Belgian company, you can now adapt your share register from a digital one to a fully electronic share register.  This is a fully legally anchored version that meets the strictest requirements under Belgian company law. 

The electronic share register is a fully-fledged alternative to the paper register and carries the special evidentiary value (bijzondere bewijswaarde) reserved for securities registers under Belgian law. This means it creates a legal presumption of ownership for the securities recorded in it. Once a company switches to an electronic register, the paper version loses its special evidentiary status entirely.

If the digital share register meets your organisation's needs, there is no obligation to switch. Corporify will continue to fully support it.

Restricted registers

Next to the fully electronic share register for Belgian entities, you now also have the option to restrict access to any register in Corporify. This gives you much more granular control over who sees what. You can limit access to specific registers (for example the share register, bond register or any other register) and define per user (or user group):

  • who can view the register

  • who can also edit and view the register

You decide this at entity level and per register, so you can align the access rights. When you restrict access, users who can not view the register, can still see the basic entity information and for example the composition of the governing bodies (Eg. board of directors), but they no longer see the detailed information of the restricted registers.

Export indirect ownership

You can now export your indirect ownership from Corporify, this give an overview of all companies where you have a direct and indirect part in, so you have a view with the following information:

  • Weighted %: weighted percentage that the entity has indirectly
  • Group %: weighted percentage that the entity holds indirectly, aggregated when the entity appears multiple times through different indirect owners.
  • Direct %: direct ownership 
  • Number of shares: number of shares owned by each (in)direct shareholder)

In the export, you can even customize that additional columns with information are available. Such as additional information from custom data fields or other specific entity information.

Connect Corporify to your AI Tool

Corporify now supports MCP (Model Context Protocol), an open standard that lets AI assistants connect securely to your Corporify data.

Currently, Claude, ChatGPT, Copilot and Mistral can retrieve key data from Corporify, including basic company and personal information, (share) register data, governing bodies, delegations and more.

We will keep you informed about new connection possibilities and future integrations with other tools.

Configurable watermark

You can enhance document security by adding a watermark to any PDF that is accessible through the portal. But is now also possible to make extra configurations if you would like to amend the view:

  • Slightly increase or decrease the text size. 

  • Adjust the transparency level. 

  • Update the text displayed in the watermark. By default, it shows:

    • Full name of the portal user

    • Date and time of access

    • Email address of the portal user

Improved pay-up transaction

We have improved the pay-up transaction flow, giving you more flexibility to automatically calculate pay-ups in Corporify based on your specific scenario.

You can now choose to distribute a pay-up amount across all shareholders or a selected group of shareholders. And you have three option to distribute the amounts:

  • pro rata based on outstanding amount, total commitment, amounts already paid or total subscribed capital.
  • alternatively, you can distribute the total amount to be paid up by applying a fixed percentage.
  • Or you can complete or adjust it manually.

Improved dividend transaction

The dividend calculation transaction has been expanded. In addition to calculating dividend amounts pro rata based on the number of shares, you can now also calculate the dividend to be paid out based on the paid-up capital or equity.

This allows you to align the calculation method with your internal working practices, automate the dividend calculation process in Corporify, and streamline the preparation of SEPA files for payment.

Cancel security transaction 

We have added a new option to the securities cancellation transaction. When cancelling certain shares or certificates, you can now choose to include a return of capital so the subscribed amounts are cancelled at the same time.

This enables you to accurately record the cancellation of shares or other securities when the associated capital or equity is returned at the same time.

Other changes

Below you can also find a summary of some minor changes that we do want to inform you about:

  • Sidebar collapsible: The left-hand sidebar is now collapsible, so you can hide or show the full sidebar, including the general tabs, entity-specific tabs, and your favorites. With a single click, you can clear your workspace by hiding the sidebar and then easily bring it back whenever you need it again.
  • Additional sorting possibilities: In the tab entities we have added new possibilities to sort per country, legal form or entity type.
  • Infinite scrolling in entity list: Additionally, the entity list is no longer split over separate pages with a fixed number of entities. You now have infinite scrolling and can simply keep scrolling down to load more entities.
  • Commitment register and loan module: You may also notice that we have updated the design of these modules and aligned their look and feel with the (share) registers.
  • Remove an entity from a group: You can now easily remove a specific entity from a group directly from that entity’s overview.
  • eSigning: we have enhance our eSigning flow with the following features:
    • Add a signer: if the person who needs to sign is not yet added to your environment, you can now add a new entity directly within the eSigning flow.
    • Bulk eSigning: when you send multiple documents for separate eSigning envelopes, you can now add one message that will be included in each separate eSigning request.
  • Documents: the properties of each document now include additional information of who has added the document but also who has updated the document.
