Learn how you can organize your capital calls using Corporify

Discover how Corporify can streamline your capital call processes. We have outlined the capital call procedure into four manageable steps:

Step 1 - Prepare investors

Step 2 - Prepare transaction and template

Step 3 - Send out capital call

Step 4 - Execute transaction

Step 1 - Prepare investors

1.1 Add investor information

Add general information: If you would like to include the investor's address or the appropriate salutation in the template, you will need to enter this information on the overview page for each investor.

Add contactinformation (email): each investors must be added in Corporify with an email.

If the investors is a person, you will need to fill in the email. Below you can find a step by step guide on how to add an email to a person.

If the investor is a legal entity, you will need to add a contact person. The contact person will need to have an email (see instructions above). Below you can find a step by step guide on how to add a contact person.

1.2 Default folder structure

Make sure that each investor, whether it is a person or a legal entity, has the same default folder structure. This will simplify document retrieval and facilitate easier access to the portal, as well as the ability to upload and share documents within it.

1.3 Investor portal

You can set up a personalized portal access for each investor, allowing them to view an overview of their individual investments, including the total number of shares, relevant documents and general information.

You can activate the investor portal at your convenience, whether before or after the capital call.

: You can create portal access for each investor, the set-up differs depending on whether the investor is a person or legal entity.

To gain insights into the investor experience, create portal access using your own email. This will allow you to view the portal as investors do, providing a clear understanding of what information and features are available to them.


Step 2 - Prepare transaction and template

2.1 Lay-out

You have the option to add your letterhead in Corporify, including elements such as the header, footer, font type and font size. The letterhead must be a Microsoft Word template (dotx format). This personalized letterhead can be incorporated into your templates, allowing you to tailor your documents to reflect your unique branding.

Ensure that you thoroughly test the letterhead to confirm its appearance and functionality before sending it out.

2.2 Prepare the transaction

Prepare a draft version of the issuance, transfer or pay-up transaction. This will allow you to calculate the applicable amounts in the template.

  • Pay-up (click 'here').

Do not click 'save and execute' at this stage, as it is meant solely for preparing the transaction.

2.3 Create from template

Once you have prepared the transaction, you can start creating the template for the capital call.

2.4 Edit columns

We recommend that you edit the columns in your document room to assist with tracking the progress of sending the template to your investors. We suggest you add the following columns: 

  • Signing status: this will allow you to check the signing status of each template, indicating whether it has been signed.
  • Mail-out recipients: this will enable you to verify that each template has a designated recipient when you send it via email.
  • Mail-out status: this will enable you to verify that the template is send via email.

Step 3 - Send out capital call

3.1 Send documents via email

Once you have created the templates, you have the option to send the finalized document via e-mail to your investors.

3.2 Copy to the document room of each investor (share via portal)

Once you have created the template, you have the option to copy the document to the document room of each investor. If you have opened the investor portal, the investor will be able to see the document via the investor portal.

If you established a default folder structure in step 1, you can now conveniently transfer the documents to the appropriate folder for each investor in a single action. Additionally, you can add a folder for each investor simultaneously.

Portal users will receive an overnight email notification that a document has been added to the portal. If you wish to modify these email notifications or disable the overnight alerts, please contact support@corporify.com for assistance.

3.3 Send document for signature

If you wish to sign the template before distributing it to your investors, you can digitally sign the document(s) directly within Corporify.

Step 4 - Execute transaction

Once the transaction is compleet, you can save and execute the pending transaction that you have prepared in step 2. Ensure that you double-check the transaction details to confirm that everything is set up correctly for execution as you intended.
