Learn how to log a dissolution and liquidation of a legal entity in Corporify
Discover how you can keep track of a legal entity that has been dissolved and liquidated and how you can process this information in Corporify.
Please be aware that some of the steps detailed below are optional and may need adjustments to suit your specific requirements or the unique aspects of the dissolution and liquidation.

Adapt status of the entity
You can change the status of the legal entity from 'Active' or 'Created' to 'Dissolved'. Below you can find a step by step guide on how to adapt the status of the legal entity.

Adapt share register
As the entity is dissolved, we advice to take the following steps:
- Export to pdf: make a final export to pdf and save this document in the document room of the entity.
- Adapt the share register: you have the following options:
- Option 1 - Cancel the shares: In this scenario, the entity will be removed from the Org Chart, but you will still have access to the historical records of the share register.
- Option 2 - Delete the share register: In this scenario, the entity will no longer appear in the Org Chart and you will lose access to the historical records of the share register in Corporify. The only available reference will be the PDF export mentioned earlier.
- Option 3 - No changes: In this scenario, the entity will continue to be displayed in the Org Chart and you will still have access the historical records of the share register.
Please note that choosing option 2 will result in the permanent loss of access to all historical records of this share register in Corporify.

End mandates and delegations
We recommend terminating all mandates (E.g. board of directors, daily management and statutory auditor) on the date of the dissolution and liquidation. This action will help maintain a clear and up-to-date overview of the active mandates. Additionally, it is advisable to apply the same process to your delegations.

Step 2 - delete portal access and reminders
Delete portal access
If you have granted access to certain individuals for this entity through the portal, you will need to decide whether to delete this access.

Remove reminders
If you have set reminders for this entity, we recommend removing them unless they are still necessary. This will help prevent you from receiving reminders related to a dissolved entity.

Step 3 - Add supporting information
Add a note
To include additional information about the dissolved entity, you can conveniently add a note on the overview page of this legal entity. For example: By notarial deed, this entity was dissolved and liquidated in a single act dated May 8, 2025.

Add documents
You can easily upload the supporting documents regarding the dissolution and liquidation in the document room of the dissolved entity. For example: Notarial deed, auditor's report, publication in the annexes to the Belgian Official Gazette, etc.

Step 4 - Delete entity
Once you have completed the necessary steps (some of which may be optional), you can delete the entity.
